One generates the "LABEL" HTML tag and one does not. You can code CSS to take advantage of that - for example, to make all the control labels on a page be bold-face and purple.

The HTML LABEL tag is designed not only for CSS, but also to establish a linkage between an input control and its caption. Smart clients might use this knowledge to better place the text when space is tight, for example. Or it could be used for things like vision-impaired reading clients (although there are better mechanisms for that).
